Applies to the Index web app at in-dex.co and the Index iOS app (together, the “Service”).

1. Agreement to these terms

These Terms & Conditions (“Terms”) govern your use of Index (“the Service”), provided by Esguerra Enterprises L.L.C., doing business as Hidden Link Studios (“Hidden Link Studios,” “we,” “us,” “our”), a limited liability company organized in Nevada, United States.

By creating an account or using the Service — via the web app at in-dex.co or the iOS app — you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Index lets you save links, images, files, and notes; organize them into folders, boards, and projects; and optionally make certain saves or boards public and share them through public links. We may add, change, or remove features over time.

3. Your account

  • You sign in using an email magic link, Google (OAuth), or Sign in with Apple.
  • You are responsible for activity that occurs under your account and for keeping your sign-in method secure.
  • You must be at least 13 years old (or the minimum age required in your jurisdiction, where that is higher) to use the Service. The Service is not directed to children under that age.
  • You agree to provide accurate information and to notify us promptly of any unauthorized use of your account at support@in-dex.co.

4. Acceptable use and your content

4.1 You are responsible for what you save

You are solely responsible for the content you save, upload, organize, and share through the Service (“Your Content”). You represent and warrant that you have the right to save and use Your Content and that doing so does not violate any law or any third party’s rights.

4.2 Respect intellectual property

You must respect the intellectual property and copyright of others. Do not save, upload, or publicly share content you do not have the right to use, and do not use the Service to infringe anyone’s rights.

4.3 Prohibited content and conduct

You agree not to save, upload, store, share, or use the Service to:

  • Store or share child sexual abuse material (CSAM), or any content that sexually exploits, endangers, or depicts the abuse of minors;
  • Store or share content that is unlawful, or that promotes, facilitates, or instructs others in illegal activity;
  • Store or share content that harasses, threatens, bullies, defames, or incites violence against any person or group;
  • Store or share hateful or discriminatory content that attacks or demeans people on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, age, disability, or other legally protected characteristics;
  • Store or share non-consensual intimate imagery, or content that violates another person’s privacy or publicity rights;
  • Upload or share infringing, defamatory, or otherwise harmful content;
  • Distribute malware or attempt to disrupt, attack, or gain unauthorized access to the Service or its infrastructure;
  • Scrape, overload, or abuse the URL-fetching or other automated features; or
  • Use the Service in any way that breaches applicable law or these Terms.

4.4 Enforcement and reporting

We may remove any content and suspend or terminate any account that violates these Terms or that we reasonably believe is unlawful or harmful, with or without notice. We report child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement as required by law. To report content you believe violates these Terms, email support@in-dex.co; we review reports and take appropriate action.

4.5 Your ownership and our license

You retain ownership of Your Content. You grant us a limited, non-exclusive license to host, store, process, display, and — where you choose to make content public or shared — distribute Your Content solely as needed to operate and provide the Service to you. This license ends when you delete the content or your account, subject to routine backups.

5. Public and shared content

When you mark a save or board as public or share it through a link, anyone with the link can access it without an account. You are responsible for what you choose to make public, and you should not include sensitive or confidential information in public content. You can revert public content to private at any time, which removes public access going forward.

6. Third-party content

The Service lets you save and view content from third parties, and our server fetches third-party web pages on your behalf to generate previews and metadata. We do not control, endorse, or take responsibility for third-party content, websites, or materials that users save or that are shared publicly by users. Your use of third-party content is at your own risk and may be subject to the third party’s own terms.

7. Copyright and DMCA takedown

We respect intellectual property rights and respond to valid takedown notices. If you believe content on the Service infringes your copyright, send a notice to support@in-dex.co that includes:

  • Identification of the copyrighted work claimed to be infringed;
  • Identification of the allegedly infringing material and enough detail to locate it (e.g. the public link);
  • Your contact information (name, address, email);
  • A statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law;
  • A statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on its behalf; and
  • Your physical or electronic signature.

We may remove allegedly infringing content and, where appropriate, terminate repeat infringers’ accounts. A user whose content is removed may submit a counter-notice.

8. Subscriptions and billing

8.1 Pro plans

Index offers a paid “Pro” plan. Pro subscriptions are sold and billed only on the web app at in-dex.co through our third-party payment processor, Stripe. The iOS app contains no in-app purchases.

8.2 Auto-renewal

Pro subscriptions renew automatically at the end of each billing period (monthly, annual, or another plan you select) at the then-current price, unless you cancel before the renewal date. By subscribing, you authorize us, through our payment processor, to charge your payment method on a recurring basis.

8.3 Cancellation

You can cancel at any time in Settings → Billing, which opens the Stripe customer portal where you can cancel, update your payment method, and view invoices. Cancellation stops future renewals; your Pro access continues until the end of the billing period you have already paid for.

8.4 Refunds

We offer a 14-day money-back guarantee. If you are not satisfied, you may request a full refund within 14 days of a Pro payment (initial purchase or renewal) by emailing support@in-dex.co; we will refund that payment and your Pro access will end. After 14 days, payments are non-refundable except where a refund is required by applicable law. If you cancel without requesting a refund, you keep Pro access for the remainder of the billing period you have already paid for.

8.5 Price changes

We may change subscription prices. We will give you advance notice of any price change, and it will take effect on your next renewal after the notice period.

9. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, use the Service unlawfully, or create risk or legal exposure for us or other users. Where reasonable and lawful, we will give notice. On termination, your right to use the Service ends and we may delete Your Content in line with our Privacy Policy and retention practices.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT (INCLUDING URL PREVIEWS FETCHED FROM THIRD PARTIES) WILL BE ACCURATE OR AVAILABLE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing here affects your non-waivable statutory or consumer-protection rights.

12. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or of any third-party right.

13. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Nevada, and you consent to their jurisdiction.

14. Apple App Store

The Index iOS app is licensed, not sold, to you. Your license to use the iOS app is governed by Apple’s Licensed Application End User License Agreement (apple.com/legal/internet-services/itunes/dev/stdeula), in addition to these Terms. These Terms are between you and Hidden Link Studios only, not Apple, and Apple is not responsible for the app or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce them against you.

15. Changes to these terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide additional notice (for example by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the updated Terms.
